Terms and Conditions

These Terms and Conditions govern use of the Critical Learning Development public website and, where applicable, access to its online training services.

Scope of These Terms

These Terms apply to visitors to the Critical Learning Development public website and to individuals provided access to Critical Learning Development training services. By using the website or accessing training services, you agree to comply with these Terms.

Training access may be provided through a public safety agency or other organization that has arranged or purchased training from Critical Learning Development.

Public Website Visitors

Accessing or using the Critical Learning Development public website does not, by itself, create a customer, client, training, advisory, contractual, or other professional relationship with Critical Learning Development.

Information available on the public website is provided for general informational purposes. Training, certification, support, and other services are provided only when separately arranged or authorized by Critical Learning Development or through a participating agency or organization.

Agency Agreements

An agency or organization may have a separate written agreement, proposal, purchase arrangement, or other written terms with Critical Learning Development governing training or related services. If those terms conflict with these Terms, the terms governing the agency's purchase or arrangement will control with respect to that agency and the services covered by that arrangement.

Training Access and Accounts

Training accounts are provided to authorized participants for the purpose of completing training arranged or purchased by their agency or organization. Training access may be limited to a specified enrollment or access period.

Participants are responsible for maintaining the confidentiality of their account credentials and must not share their account or permit another person to complete training using their identity.

Critical Learning Development may suspend, restrict, or terminate access when an enrollment period expires, when training has been completed, when access is no longer authorized by the participating agency, or when necessary to protect the security or integrity of its systems and services.

Training Records and Certificates

Critical Learning Development may maintain records relating to course enrollment, participation, progress, completion, and certificates of completion. Certificates are issued based on the applicable course requirements and information associated with the participant's training account.

Participants are responsible for ensuring that information associated with their training account and certificate is accurate and should promptly report errors that require correction.

Intellectual Property and Training Materials

Unless otherwise stated, the website, training courses, instructional materials, graphics, text, presentations, assessments, and other content provided by Critical Learning Development are owned by or licensed to Critical Learning Development and are protected by applicable intellectual property laws.

Authorized participants may use training materials for their own participation in the training and for other uses expressly authorized by Critical Learning Development or the applicable agency arrangement.

You may not, without authorization:

  • Republish or publicly distribute CLD training materials.
  • Sell, rent, sublicense, or commercially exploit CLD materials.
  • Copy or reproduce substantial portions of training content.
  • Share restricted training materials or assessments with unauthorized persons.
  • Remove copyright, ownership, or other proprietary notices.

Acceptable Use

You must not use the website or training systems in a manner that is unlawful, fraudulent, abusive, disruptive, or harmful to Critical Learning Development, participating agencies, other users, or third parties.

You must not attempt to:

  • Gain unauthorized access to accounts, systems, or restricted content.
  • Interfere with the operation or availability of the website or training systems.
  • Introduce malicious software or harmful code.
  • Circumvent security, access, or authentication controls.
  • Use automated tools to scrape or systematically extract protected content without authorization.
  • Use another participant's account or permit another person to use your training account.

Website and Training Availability

Critical Learning Development works to maintain the availability and reliability of its website and training services but does not guarantee uninterrupted or error-free access. Services may occasionally be unavailable because of maintenance, technical problems, security requirements, circumstances outside Critical Learning Development's control, or other operational reasons.

Critical Learning Development may update, modify, replace, or discontinue website content, training materials, or system features when reasonably necessary.

Training and Informational Content

Critical Learning Development develops training and informational materials for public safety communications professionals and agencies. Agencies remain responsible for determining whether particular training, policies, procedures, or practices satisfy their operational, regulatory, accreditation, certification, or other requirements.

Website and training content is not a substitute for an agency's own policies, procedures, legal requirements, or professional judgment.

Third-Party Services and Websites

The website or training services may contain links to or interact with services operated by third parties. Critical Learning Development is not responsible for the availability, content, security, or practices of third-party websites or services that it does not control.

Disclaimer of Warranties

To the extent permitted by applicable law, the public website and its content are provided on an "as is" and "as available" basis. Critical Learning Development does not warrant that the website will always be available, uninterrupted, error-free, or free from every security vulnerability.

Any warranties or commitments specifically provided under a separate written agreement with an agency are governed by that agreement.

Limitation of Liability

To the fullest extent permitted by applicable law, Critical Learning Development will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to use of, or inability to use, the public website or training services, including loss of data, business opportunity, revenue, or anticipated savings.

Critical Learning Development is not responsible for losses resulting from unauthorized use of an account when account credentials have been shared, disclosed, or otherwise compromised through circumstances outside Critical Learning Development's reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Any liability terms contained in a separate written agreement with an agency will control with respect to services governed by that agreement.

Indemnification and Hold Harmless

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Critical Learning Development, LLC, and its officers, employees, agents, and representatives from claims, damages, liabilities, losses, and reasonable costs and expenses, including reasonable attorneys' fees, arising from your unlawful use of the website or training services, unauthorized use or distribution of Critical Learning Development's training materials, your infringement of third-party rights, or intentional violation of these Terms.

Suspension and Enforcement

Critical Learning Development may take reasonable action to protect its website, training systems, content, participants, and participating agencies. This may include restricting, suspending, or terminating access associated with suspected misuse, unauthorized access, security threats, or violations of these Terms.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where applicable federal law controls or a separate written agreement provides otherwise.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Changes to These Terms

Critical Learning Development may update these Terms from time to time to reflect changes in its website, training services, business practices, or legal requirements. The current version will be posted on this page and will become effective when posted unless otherwise stated.

Privacy

Information associated with use of the website and training services is handled as described in the Critical Learning Development Privacy Policy.
